Please read these Terms of Service (“Terms”) carefully before using Spinjoy’s software subscription service (the “Service”). By signing up for a free trial, subscribing to, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Subscription and Free Trial

1.1 We may offer a free trial period (“Trial Period”) for the Service, the length of which will be specified at the time of sign-up.

1.2 Automatic Renewal. Your subscription will automatically convert to a paid, recurring subscription at the end of the Trial Period unless you cancel prior to the Trial Period expiration in accordance with Section 3 below. By starting a Trial Period, you authorize us to charge your designated payment method upon conversion to a paid subscription and on each renewal thereafter.

1.3 Continued use of the Service after the Trial Period constitutes acceptance of recurring billing as described in these Terms.

1.4 Payment Information Required at Sign-Up. To start a Trial Period, you must provide a valid payment method. By providing your payment information, you authorize us to store it and to charge it automatically upon conversion to a paid subscription in accordance with Section 1.2, and on each renewal thereafter in accordance with Section 2, unless you cancel prior to the end of the Trial Period.

1.5 Trial Reminder Notice. We will send you an email notification prior to the end of your Trial Period, reminding you that your Trial Period is ending and that your subscription will convert to a paid subscription unless you cancel. This notice will be sent no less than three (3) days before the Trial Period ends, to the email address associated with your account. It is your responsibility to ensure your email address on file is accurate and monitored so that you receive this notice.

2. Billing

2.1 Monthly Billing. Following conversion from the Trial Period (or immediately upon subscribing, if no trial applies), your payment method on file will be charged automatically on a monthly basis, on the calendar day corresponding to the anniversary of your original subscription date (the “Billing Date”;). For example, if your subscription began on the 15th of the month, your Billing Date will be the 15th of each subsequent month.

2.2 If a given month does not contain the corresponding calendar day (e.g., your Billing Date is the 31st and the following month has only 30 days), your card will be charged on the last day of that month.

2.3 It is your responsibility to ensure that your payment method remains valid and current. If a charge is unsuccessful, we may retry the charge, suspend your access to the Service, or both, until payment is successfully processed.

2.4 All fees are exclusive of applicable taxes unless otherwise stated, and such taxes may be added to your charge as required by law.

2.5 Auto-Renewal Disclosure. Your subscription automatically renews each Billing Date unless cancelled in accordance with Section 3. We will notify you by email at least seven (7) days before any renewal that involves a price increase or a change in subscription terms. Where required by applicable law, we will provide additional advance notice or obtain your affirmative consent before renewal.

3. Cancellation

3.1 You may cancel your subscription at any time. To avoid being charged at the end of the Trial Period, you must cancel prior to the end of the Trial Period.

3.2 How to Cancel. You can cancel your subscription by navigating to:

       Settings → My Plan → Cancel

3.3 If you cancel during the Trial Period, your access to the Service will end at the conclusion of the Trial Period, and you will not be charged.

3.4 If you cancel after the Trial Period has converted to a paid subscription, your cancellation will take effect at the end of the current billing cycle, and you will not be charged for subsequent billing cycles. Except as otherwise required by law, we do not provide refunds or credits for partial billing periods.

4. Price Changes

4.1 We reserve the right to change our subscription fees at any time.

4.2 Advance Notice. If we change the price of your subscription, we will notify you via email at least thirty (30) days before the price change takes effect.

4.3 If you do not agree to a price change, you may cancel your subscription in accordance with Section 3 before the new price takes effect. Continued use of the Service after a price change takes effect constitutes your acceptance of the new price.

5. Account Registration

5.1 You must provide accurate and complete information when creating an account and must keep such information up to date.

5.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

5.3 You agree to notify us immediately of any unauthorized access to, or security breach of, your account.

6. Privacy

Our collection, use, and disclosure of your personal information is described in our Privacy Policy, available at https://www.spinjoy.com/privacy-policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have reviewed the Privacy Policy and consent to the collection and use of your information as described therein. We may update the Privacy Policy from time to time in accordance with its terms.

7. Use of the Service

7.1 You agree to use the Service only for lawful purposes and in accordance with these Terms.

7.2 You may not:

     (a) Reverse engineer, decompile, or disassemble the Service;

     (b) Resell, sublicense, or otherwise transfer your subscription without our prior written consent; 

     (c) Use the Service in a manner that violates applicable law or infringes the rights of any third            party;

     (d) Interfere with or disrupt the operation of the Service;

     (e) Attempt to access systems, data, or accounts without authorization;

     (f) Submit false, misleading, or harmful information.

7.3 You represent that you are at least 18 years old or otherwise have the legal capacity to enter into a binding contract.

7.4 We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

7.5 Discovery of Minor Users. If we become aware that a user does not meet the age requirement in Section 7.3, we reserve the right to suspend or terminate that account and to delete any associated data, subject to our Privacy Policy.

8. Third-Party Services

The Service may link to or integrate with third-party websites, applications, or tools (including retail partner systems). We do not control or endorse these third parties and are not responsible for their content, policies, or practices. Your interactions with third-party services are governed by those parties’ terms.

9. Intellectual Property

All right, title, and interest in and to the Service, including all associated intellectual property rights, remain with Spinjoy and its licensors. These Terms do not grant you any rights to our trademarks, logos, or brand features. You may not copy, reproduce, distribute, modify, or create derivative works from the Service without our written permission.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted or error-free, or that the Service is free from viruses or other harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, Spinjoy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service. Our total liability to you for any claims relating to the Service will not exceed the amount you paid (if any) in the six months prior to the claim. Some states do not allow certain limitations, so these terms may not apply to you. Nothing in this Section limits liability for gross negligence, willful misconduct, or fraud, to the extent such liability cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold Spinjoy, its affiliates, employees, contractors, and partners harmless from any claims, damages, liabilities, or expenses arising from: your use of the Service; your violation of these Terms; or your violation of any law or rights of a third party.

13. Modifications to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice, such as by email or through the Service, prior to the changes taking effect. Your continued use of the Service after such changes take effect constitutes your acceptance of the revised Terms.

14. Termination

We may suspend or terminate your access to the Service if you breach these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to the Service or other users. You may stop using the Service at any time. Certain obligations (such as payment for amounts owed) may survive termination.

15. Force Majeure

We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disaster, war, terrorism, riots, embargoes, acts of civil or military authority, fire, flood, accidents, epidemics or pandemics, strikes, labor shortages, internet or telecommunications failures, or shortages of transportation, facilities, fuel, energy, labor, or materials.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Arkansas, without regard to its conflict of laws principles.

17. Arbitration Agreement and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

(a) Agreement to Arbitrate. You and Spinjoy agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service (a "Claim") will be resolved through binding, individual arbitration, rather than in court, except that either party may bring an individual action in small claims court if it qualifies.

(b) Arbitration Rules and Process. The arbitration will be administered by [the American Arbitration Association ("AAA")] under its Consumer Arbitration Rules then in effect. The arbitration will be conducted by a single arbitrator and may be conducted by telephone, videoconference, or based on written submissions, at the election of the party seeking relief, unless both parties agree otherwise. The arbitrator's decision will be final and binding, subject only to limited review under the Federal Arbitration Act.[C1] 

(c) Class Action and Jury Trial Waiver. YOU AND SPINJOY EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. Claims must be brought in an individual capacity, and the arbitrator may not consolidate more than one person's claims.

(d) Costs. Spinjoy will pay all AAA filing, administration, and arbitrator fees for claims under $10,000, unless the arbitrator finds the arbitration frivolous. Each party bears its own attorneys' fees unless the arbitrator awards fees as permitted by law.

(e) Opt-Out Right. You may opt out of this arbitration agreement by sending written notice to support@spinjoy.com within thirty (30) days of first accepting these Terms, stating your name and a clear statement that you decline to be bound by this arbitration provision. If you opt out, this Section 17 will not apply to you, but all other provisions of these Terms will remain in effect.

(f) Exceptions. Nothing in this Section prevents either party from seeking injunctive relief in court for infringement of intellectual property rights, or from bringing a claim in small claims court. Claims that cannot legally be subject to mandatory arbitration under applicable federal law (including certain sexual harassment and sexual assault claims under the Ending Forced Arbitration Act of 2021) are excluded from this Section.

(g) Severability. If any part of this arbitration agreement is found unenforceable, the remainder will remain in effect, except that if the class action waiver in subsection (c) is found unenforceable, the entire arbitration agreement in this Section 17 will be null and void, and disputes will proceed in court under Section 16 (Governing Law).

18. SMS Terms of Service

This SMS consent is separate and independent from your acceptance of the general Terms in this document; declining SMS marketing does not affect your ability to use the Service.

By providing your mobile phone number and opting in to receive SMS marketing messages from Spinjoy, you expressly consent to receive recurring automated marketing, promotional, and informational text messages from Spinjoy. Consent to receive SMS marketing messages is not a condition of purchase. Message frequency varies based on your interactions with Spinjoy and our promotional activities. Message and data rates may apply according to your mobile carrier plan. Mobile numbers are not sold or shared for marketing purposes.

You may opt out of receiving marketing text messages at any time by replying STOP to any message. Upon receipt of your STOP request, we will cease sending marketing text messages to your mobile number. For assistance, reply HELP to any message or contact Spinjoy customer support. Spinjoy reserves the right to modify or terminate its SMS marketing program at any time without notice.

19. Assignment

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets. These Terms will bind and benefit each party's permitted successors and assigns.

20. Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Spinjoy regarding the Service and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
